This Confidentiality Agreement ("Agreement") is designed to protect the proprietary design Templates, Marketing Strategies, and any Confidential Communication ("Templates, Marketing Strategies, and any Confidential Communication") owned by VinylProtec, LLC (D.B.A. 6sMaker ("Company"). By accessing, using, or receiving any Templates, Marketing Strategies, and any Confidential Communication, you agree to be bound by the terms and conditions set forth in this Agreement.
You acknowledge and agree that the Templates, Marketing Strategies and any specific communication noted as confidential ("Confidential Communication") and provided by the Company contain confidential and proprietary information. You shall maintain and exercise reasonable care to protect the information and prevent unauthorized disclosure, use or access by any third party to the confidential and proprietary information.
You shall not disclose, distribute, reproduce, sell, or otherwise provide access to the Templates, Marketing Strategies, and any Confidential Communication or any information contained therein to any third party without the prior written consent of the Company.
You shall only use the Templates, Marketing Strategies, and any Confidential Communication for the purposes explicitly authorized by the Company. Any use, modification, or adaptation of the Templates, Marketing Strategies, and any Confidential Communication beyond the authorized scope is strictly prohibited.
You acknowledge and agree that the Templates, Marketing Strategies, and any Confidential Communication and all associated intellectual property rights are and shall remain the exclusive property of the Company. This Agreement does not grant you any right or license to the Templates, Marketing Strategies, and any Confidential Communication except as expressly authorized herein.
Upon the Company's request or termination of your engagement, you shall promptly return or destroy all copies of the Templates, Marketing Strategies, and any Confidential Communication and any related materials in your possession, custody, or control, and provide written certification of such return or destruction.
In the event of a breach of this Agreement, the Company shall be entitled to seek injunctive relief, damages, or any other legal remedies available to it. The rights and remedies provided in this Agreement are cumulative and shall not limit any other rights or remedies available to the Company at law or in equity. In the event of litigation, the prevailing party shall be entitled to recover costs and attorney's fees, in addition to any and all other available remedies.
The obligations and restrictions set forth in this Agreement shall survive the termination or expiration of any agreement or engagement between you and the Company.
This Agreement shall be governed by and construed in accordance with the laws of South Carolina. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Anderson, South Carolina.
By accessing, using, or receiving the Templates, Marketing Strategies, and any Confidential Communication, you acknowledge that you have read, understood, and agree to be bound by this Confidentiality Agreement.
